2.Eligibility and Accounts

Our services are intended for businesses and for individuals aged 16 or older. You agree to provide accurate and current information when you register for a course, request a proposal, or create an account.

Where credentials are issued for a course, lab environment, or assessment, they are personal to you. You are responsible for keeping them confidential and for all activity that occurs under them. Notify us promptly at info@elephantscale.com if you believe your credentials have been compromised.

3.Training Services

We deliver live instructor-led training, on-demand content, hands-on labs, assessments, and consulting. Course outlines, durations, schedules, and prerequisites published on our website are provided in good faith and may be updated as technology and curricula evolve.

• We may substitute an instructor of comparable expertise, or reschedule a session, where circumstances require it. We will give as much notice as reasonably possible.
• We may cancel a scheduled public course — for example if minimum enrollment is not met — in which case you may transfer to another session or receive a full refund of fees paid for that course.
• Lab and sandbox environments are provided for the duration of the course and for training purposes only. They may be reset or decommissioned after the engagement ends, so retain any work you wish to keep.
• You are responsible for meeting the stated technical prerequisites, including a suitable device, network connection, and any accounts required to complete lab exercises.

4.Fees, Payment, and Taxes

Fees are stated at the time of purchase or in the applicable proposal, quote, or statement of work. Unless stated otherwise, all fees are in U.S. dollars and exclusive of taxes, duties, and withholdings, which are your responsibility.

• Online purchases are handled by our third-party payment processor. We do not receive or store your full payment card details.
• Invoiced amounts are due within the period stated on the invoice. Overdue amounts may accrue interest at the lower of 1.5% per month or the maximum rate permitted by law.
• Travel and delivery expenses for on-site training are billed as agreed in the applicable proposal or statement of work.
• Access to a course, lab, or certification may be withheld or suspended while payment remains outstanding.

5.Cancellations, Rescheduling, and Refunds

Public and individual enrollments

• Cancel 10 or more business days before the start date for a full refund, or transfer at no charge to a later session of the same course.
• Cancel fewer than 10 business days before the start date and fees are non-refundable, though you may transfer once to a later session, subject to availability.
• Substituting another participant from the same organization is permitted at any time before the course begins, at no charge.
• No refund or credit is available for non-attendance or partial attendance once a course has begun.

Private and enterprise engagements

Cancellation and rescheduling terms for private, on-site, and custom engagements are set out in the applicable proposal or statement of work, which reflects the instructor time, curriculum development, and travel committed to the engagement.

If we cancel a course, your sole remedy is a transfer to another session or a refund of fees paid for the cancelled course. Refund requests should be sent to billing@elephantscale.com.

6.Acceptable Use

When using our website, services, or lab environments, you agree not to:

• Use them for any unlawful purpose or in violation of any applicable law or regulation.
• Record, stream, or redistribute a live session, or reproduce our course materials, without our prior written permission.
• Share access credentials, or allow anyone who is not an enrolled participant to attend a session.
• Attempt to gain unauthorized access to our systems, other participants’ data, or any lab environment beyond the scope of the exercises assigned to you.
• Use lab or sandbox environments for cryptocurrency mining, penetration testing against third parties, hosting production workloads, or any other purpose unrelated to the course.
• Introduce malware, interfere with or disrupt the services, or place unreasonable load on our infrastructure.
• Scrape, crawl, or harvest content or contact details from the website by automated means.
• Misrepresent your identity, affiliation, or certification status.

We may suspend or terminate access for conduct that breaches this section, without refund where the breach is material.

7.Intellectual Property

The website, course materials, slide decks, lab guides, exercises, code samples, assessment instruments, and branding are owned by Elephant Scale or its licensors and are protected by copyright, trademark, and other intellectual property laws.

On payment of the applicable fees, we grant enrolled participants a limited, non-exclusive, non-transferable, revocable license to use the course materials for their own internal learning and professional reference. You may not resell, sublicense, publish, or use them to deliver training to others.

Sample code provided during a course may be used in your own projects unless a specific exercise states otherwise. Third-party software, datasets, and open-source components used in our courses remain subject to their own licenses.

If you provide feedback or suggestions about our courses or services, we may use them without restriction or obligation to you.

8.Certification and Assessments

Certificates and credentials are issued to individuals who complete the stated requirements for a program. They confirm participation and demonstrated proficiency in the assessed material. They are not a guarantee of employment, exam outcome, or professional licensure.

• Certificates are personal, non-transferable, and may be revoked if obtained through misrepresentation or a breach of assessment integrity rules.
• Where an assessment is proctored, you agree to the proctoring conditions communicated before the session.
• Assessment tools such as the AI Readiness Assessment and SAIS-100 produce indicative scores and guidance. They are informational and do not constitute a security audit, compliance certification, or professional advice.
• We may verify a credential at the request of an employer or third party where you have shared the certificate identifier with them.

9.Third-Party Services and Links

Our website and courses reference or integrate third-party platforms — including cloud providers, video conferencing, scheduling, payment, and video hosting services. We do not control those services and are not responsible for their content, availability, or practices. Your use of them is governed by their own terms and privacy policies. Any cloud or vendor charges you incur in your own accounts while completing course exercises are your responsibility.

10.Confidentiality

Each party may receive confidential information from the other in the course of an engagement. Each party will use the other’s confidential information only to perform its obligations, will protect it with at least reasonable care, and will not disclose it to third parties except to personnel and contractors bound by equivalent obligations, or where disclosure is required by law. This section does not apply to information that is or becomes public through no fault of the receiving party, is independently developed, or is lawfully received from a third party.

11.Disclaimers

Our website, course materials, and lab environments are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the services will be uninterrupted, timely, secure, or error-free.

Course content, reference architectures, and code examples are provided for educational purposes. They are not legal, financial, security, or compliance advice, and they are not a substitute for professional judgment applied to your own environment. You are responsible for evaluating and testing anything you adopt in production.

12.Limitation of Liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business, or goodwill, arising out of or relating to these Terms or the services, even if advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to these Terms or the services will not exceed the amounts you paid to us for the specific course or engagement giving rise to the claim in the twelve months preceding the event that gave rise to it.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, willful misconduct, or death or personal injury caused by negligence. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

13.Indemnification

You agree to indemnify and hold harmless Elephant Scale, its affiliates, and their officers, employees, and instructors from any claims, damages, liabilities, and reasonable legal costs arising from your breach of these Terms, your misuse of the services or lab environments, or your violation of any law or third-party right.

14.Suspension and Termination

We may suspend or terminate your access to the website, a course, or a lab environment if you breach these Terms, if payment is overdue, or if we are required to do so by law. You may stop using the services at any time. Provisions that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law — will survive.

15.Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas, for any dispute arising out of or relating to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information. Before filing a claim, each party agrees to attempt in good faith to resolve the dispute by contacting the other at the address below.

16.General Terms

• Entire agreement — these Terms, together with any signed agreement, proposal, or statement of work and our Privacy Policy, constitute the entire agreement between the parties on this subject.
• Changes — we may update these Terms from time to time. The effective date at the top of this page shows the latest revision. Continued use after an update means you accept the revised Terms.
• Severability — if any provision is found unenforceable, the remainder stays in force.
• No waiver — failure to enforce a provision is not a waiver of the right to enforce it later.
• Assignment — you may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure — neither party is liable for delay or failure caused by events beyond its reasonable control.
